By downloading, installing, or using PlanBee ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software. These Terms constitute a legal agreement between you and infin8 ("we", "us", "our").

2. Description of Service

PlanBee is a desktop application for AI agent orchestration, providing voice notifications, agent coordination, and workflow management. The Software is available in Free, Pro, and Enterprise tiers.

3. License

Free Tier (Open Source)

The Free tier of PlanBee is licensed under the MIT License. You are free to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, subject to the conditions of the MIT License.

Pro & Enterprise Tiers (Commercial)

The Pro and Enterprise tiers are licensed under a commercial license. Upon purchasing a subscription, you are granted a non-exclusive, non-transferable, revocable license to use the additional features included in your tier. You may not reverse-engineer, decompile, or disassemble the proprietary components of these tiers.

4. User Obligations

You must be at least 16 years of age to use PlanBee.
You are responsible for maintaining the confidentiality of your API keys and credentials configured within PlanBee.
You agree not to use PlanBee for any unlawful purpose or in violation of any applicable regulations.
You are solely responsible for the AI agents you configure and the actions they perform.

5. Intellectual Property

PlanBee, its branding, bee mascots, and associated assets are the intellectual property of infin8. The open-source components are licensed under the MIT License; all other rights are reserved.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL INFIN8 BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM THE USE OF THE SOFTWARE.

7. Limitation of Liability

To the maximum extent permitted by applicable law, infin8 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of PlanBee.

infin8 is not responsible for the output, behavior, or actions of AI agents orchestrated through PlanBee. You acknowledge that AI systems may produce unexpected results and you use them at your own risk.

8. Subscriptions and Payments

Pro and Enterprise subscriptions are billed according to the pricing published on our website. We reserve the right to change pricing with 30 days' notice. Refunds are handled on a case-by-case basis.

9. Termination

You may stop using PlanBee at any time by uninstalling the Software. We reserve the right to suspend or terminate your access to Pro or Enterprise features if you violate these Terms. Upon termination, your license to use the proprietary components ceases immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Germany.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Software after changes constitutes acceptance of the revised Terms. We will notify users of material changes via our website.
